Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Ken's BiLo Foods mobile app and customer web portal (together, the "Service"), operated by Ken's BiLo Foods ("we," "us," "our"). By creating an account or otherwise using the Service, you agree to these Terms and our Privacy Policy, which is incorporated by reference. If you don't agree, don't use the Service.

2. The Service

The Service lets you: view store locations, hours, and the weekly ad; create an account; receive and redeem offers; opt into push, email, and SMS communications; and access online grocery ordering through a linked third-party service. We may add, change, or remove features at any time.

3. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your state, to create an account. If you're creating an account on behalf of a minor household member's shopping needs, you (an adult) are the account holder and are responsible for all activity on the account.

You're responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately of any unauthorized use. Provide accurate, current information when creating and maintaining your account.

4. Offers and Promotions

Offers, discounts, and promotional codes made available through the Service are subject to their own stated terms (such as an expiration date or minimum purchase), which control over these Terms where they conflict. Offers have no cash value unless expressly stated, are not transferable or combinable unless stated, and may be limited, modified, or discontinued at any time. Redemption is subject to verification at the point of sale.

5. Communications

By creating an account, you'll receive transactional messages related to your account. If you opt in separately, you may also receive marketing email, text messages, and/or mail — see our Privacy Policy for how to manage or withdraw that consent, including replying STOP to opt out of text messages at any time. Message and data rates may apply to text messages; message frequency varies.

6. Third-Party Services

The Service may link to or embed third-party services, including online ordering through a third-party grocery delivery partner. Your use of any such third-party service is governed entirely by that provider's own terms and privacy policy, and any purchase, payment, delivery, or dispute arising from it is between you and that provider. We aren't a party to that transaction and aren't responsible for the third-party service's availability, accuracy, or performance.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of these Terms;
Attempt to gain unauthorized access to the Service, other accounts, or our systems;
Interfere with or disrupt the Service, including introducing malware or excessive automated requests;
Copy, modify, reverse-engineer, or create derivative works of the Service, except as permitted by law;
Misrepresent your identity or impersonate another person or entity;
Use offers or promotions fraudulently or in a manner inconsistent with their stated terms.

We may suspend or terminate your access to the Service for violating this section.

8. Intellectual Property

The Service, including its design, text, graphics, logos, and software, is owned by Ken's BiLo Foods or our licensors and is protected by intellectual property laws. These Terms don't grant you any right to use our trademarks or branding without prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR OFFER, PRODUCT AVAILABILITY, OR STORE INFORMATION DISPLAYED WILL BE ACCURATE OR CURRENT AT ALL TIMES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KEN'S BILO FOODS AND OUR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold Ken's BiLo Foods harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.

12. Termination

You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion.

13. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania, and you consent to personal jurisdiction there. Nothing in this section limits any right you may have to bring a claim in small claims court.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision isn't a waiver of that provision. These Terms, along with our Privacy Policy, are the entire agreement between you and us regarding the Service.
